- ilnd;;1:17-cv-02375_de3 RegisterActionDescriptionText "MINUTE entry before the Honorable Edmond E. Chang: On review of the complaint, the Court issues this jurisdictional inquiry. The Complaint relies on diversity of citizenship, but in describing the Plaintiffs, the Complaint only alleges the state of incorporation or partnership, and principal places of business. But an LLC's citizenship for purposes of diversity jurisdiction is the citizenship of each of the LLC's member shareholders. Wise v. Wachovia Securities, LLC, 450 F.3d 265, 267 (7th Cir. 2006). The same goes for partnerships: the citizenship of a partnership is the citizenship of the partners, even if they are limited partners. Smart v. Local 702, 562 F.3d 798, 803 (7th Cir. 2009). So the Plaintiffs must allege the specific identity of each partner or member and their respective citizenships. Meyerson v. Showboat Marina Casino Pship, 312 F.3d 318, 321 (7th Cir. 2002). By 04/10/2017, Plaintiffs shall either file an amended complaint fixing the jurisdictional allegations, or file a memorandum explaining why the case should not be dismissed for lack of subject matter jurisdiction. Emailed notice (Chang, Edmond) (Entered: 04/01/2017)" @default.
