- ilnd;;1:11-cv-01639_de8 RegisterActionDescriptionText "MINUTE entry before Honorable Edmond E. Chang: Upon review of the complaint, the Court issues the following jurisdictional inquiry. The complaint relies on diversity of citizenship, R. 1 Par. 4, and alleges that "Borrower [Crosland LLC] is a North Carolina limited liability company with its principal place of business [in] North Carolina." Id. at Par. 3. But an LLC's citizenship is not the state of organization or its principal place of business; "in the case of a firm that is not a corporation, its citizenship is the citizenship of its owners, partners, or other principals." Meyerson v. Harrah's East Chicago Casino, 299 F.3d 616, 617 (7th Cir. 2002) (per curiam). The complaint has not alleged the citizenship of Crosland LLC's member-shareholders. Accordingly, on or before March 21, 2011, Plaintiff either should amend the complaint (if Plaintiff in good faith can make the requisite allegations) or file a memorandum explaining why this case should not be dismissed for lack of subject matter jurisdiction. Mailed notice (slb, ) (Entered: 03/21/2011)" @default.
