Alonso: Plaintiff sues defendants for breach of contract, invoking this Court's diversity jurisdiction. (See Compl. 4.) Plaintiff alleges that it is an Illinois limited liability company ("LLC") with its principal place of business in Arlington Heights, Illinois. (Id. 1.) It alleges that one of the defendants, Wellington E LLC, is a Kentucky LLC with its principal place of business in Lexington, Kentucky, the members of which are Douglas Wright and BBHJ Group, LLC, whose citizenships are not alleged. (Id. 3.) These allegations are insufficient to establish diversity jurisdiction. Unlike a corporation, an LLC is a citizen of every state of which any of its members is a citizen, so the complaint should have identified all of the members of each LLC entity and their citizenships. See Thomas v. Guardsmark, LLC, 487 F.3d 531, 533-34 (7th Cir. 2007). Moreover, "if [the] members [of the LLC entities] have members, the citizenship of those members" must be alleged as well. Id. at 534; see Meyerson v. Harrah's E. Chi. Casino, 299 F.3d 616, 617 (7th Cir. 2002) (per curiam) (stating that the citizenship of an unincorporated association such as an LLC must be traced through however many layers of... members there may be and that the "[f]ailure to go through all the layers can result in dismissal for want of jurisdiction."). Because the complaint does not establish the existence of subject matter jurisdiction, the Court dismisses it without prejudice. Plaintiff has until September 18, 2015 to file an amended complaint with appropriate jurisdictional allegations. If plaintiff fails to do so, the Court will dismiss this suit.
