Pallmeyer: Plaintiff JPMorgan Chase Bank, NA, has brought state law claims against its landlord, Defendant EFN Northfield Property, LLC. Plaintiff invokes the court's diversity jurisdiction, but its allegations are inadequate for that purpose. The complaint identifies Plaintiff as an "Ohio national banking association," without providing specifics concerning the state in which its main office is located. In Wachovia Bank v. Schmidt, the Supreme Court concluded that a national bank "is a citizen of the State in which its main office, as set forth in its articles of association, is located." 546 U.S. 303, 307 (2006). With respect to Defendant, Plaintiff alleges only that it is an "Illinois limited liability company," and does not identify the members of the LLC nor their citizenship. (Complaint, 3.) As the Seventh Circuit explained decades ago, "the citizenship of an LLC for purposes of the diversity jurisdiction is the citizenship of its members." Cosgrove v. Bartolotta, 150 F.3d 729, 731 (7th Cir. 1998). See also Belleville Catering Co. v. Champaign Market Place, L.L.C.,, 350 F.3d 691 (7th Cir. 2003) (directing counsel who failed to recognize the absence of diversity under this principle to re-litigate their dispute in state court without charge to their clients).
