- W2186919076 abstract "The resource-based view argues that acquisitions build competitive advantage partially through retention of top managers with valuable, firm-specific skills. In contrast, the traditional characterization of the market for corporate control posits that takeovers primarily discipline inefficient managers. Investigating the conditions under which target CEOs and directors are retained in a sample of mergers (1994-1998), we find greater retention of better- performing CEOs and that the performance-retention link is stronger when the acquirer's ownership is more concentrated. On average, it is not common for acquirers to retain target CEOs and directors. However, bidders that make value-creating acquisitions retain rent-generating CEOs and directors by providing a governance environment in which they elect to stay. Our findings are largely consistent with the managerial human capital explanation of retention." @default.
