Reilly1-The U.S. Court of Appeals for First Circuit held that Massachusetts Tobacco Ingredients and Nicotine Yield Act (Disclosure Act)2 did not effect a taking of trade secrets or violate Dormant Commerce Clause.3 Massachusetts legislature passed Disclosure Act in 1996 with the purpose of protecting public health.4 Disclosure Act requires manufacturers of tobacco products to submit an annual report to Department of Public Health (DPH). For every brand of products sold within Massachusetts, report must include a list of identity and quantity of all ingredients, along with standardized nicotine intake ratings.5 Under Disclosure Act, DPH shall make ingredients public record if disclosure of information could reduce risks to public health and if Massachusetts Attorney General determines that release of information will not constitute a taking of trade secrets. DPH is required to give manufacturer sixty days' written notice before releasing information to public. manufacturer may then cease sales in Massachusetts or remove product from Massachusetts market in order to reformulate it without constitutent(s) identified as problematic by DPH.6 plaintiffs, manufacturers of cigarettes and smokeless tobacco, argued that because ingredients and quantities were trade secrets, Disclosure Act constituted an uncompensated taking and violated Commerce Clause. plaintiffs brought suit against Massachusetts Attorney General after bill passed in 1996. district court granted a permanent injunction in September 2000. Commonwealth appealed, arguing that case was not ripe for review and that Disclosure Act did not constitute a taking or violate Commerce Clause. Applying a two-part test to assess ripeness, court determined that facts were sufficiently developed for review and that plaintiffs would suffer undue hardship if decision were delayed.7 district court held that a taking was effected because Disclosure Act would deprive plaintiffs of their property interest in their trade secrets, thereby requiring just compensation by government.8 First Circuit disagreed, finding that manufacturers must bear burden of government regulation in order to enjoy benefit of marketing tobacco products in Massachusetts.9 court stated that The right of a manufacturer to maintain secrecy as to his compounds and processes must be held subject to right of state ... to require that nature of product be fairly set forth.10 As there are no explicit guarantees of confidentiality, Disclosure Act does not constitute a taking. …" @default.
