Charles, St. George's University The dot com bubble has burst but we are in an era of golden opportunity, an era where great ideas make for excellent opportunities in the global economy. Increasingly small and medium business enterprises have a unique opportunity to tap into the rapid overseas escalation. However they still face the challenge of raising capital in a post-dot com world. In his book Raising Capital, Sherman addresses the difficulty of generating financing in a time when investors have been burnt by the giddy times and subsequent crash of the dot corns. He draws liberally on his experience as a corporate lawyer who has served as legal counsel to over 200 growth businesses, helping the companies emerge as winners with needed capital and/or licensing and franchising opportunities needed. Sherman presents a compelling picture of the change in the investment climate as it exists today. He outlines the fast-paced investment climate as it existed in the late 1990s and spends time explaining the pertinent changes like that of the Sarbanes-Oxley Act, the current wars, and mega-corporate scandals. He then maps out the ultimate impact on the capital markets; the truly excellent companies and growth companies are the ones that will continue to gain access to financing. Sherman then delineates the preparation a company must make before even looking for additional capital. Only after preparation and a quick reality check should the entrepreneur look at the various available options. Sherman details the various financing options available including angel investors, private placements, commercial lending, leasing, government programs, venture capital, the initial public offering, going on to explore alternative methods such as joint ventures, co-branding and mergers and acquisitions. Sherman's purpose in Raising Capital is to provide a guide for the would-be entrepreneur. His approach is not one of glossy optimism as is the case with most books of this nature; instead he warns us that raising capital requires persistence, patience and preparation for a long journey, as well as compromise on the part of the entrepreneur. Sherman goes on to map out the pros and cons associated with different methods of financing startups as well as the ethics involved. He does so by outlining the different stages of financing while establishing the various options at each stage. For the reader who is interested in alternative sources of financing, Sherman set out the chapters in his book to allow for ease of reference. While that option creates the temptation to skip to the relevant section, the reader is best advised to read his first section which pays particular attention to current strategies, understanding the legal implications of the deal and the critical role a good business plan plays in raising capital. …" @default.
