- W3048470204 abstract "Canadian federalism allows for variation and competition among the corporate laws of the various provinces. Under the Canadian constitutional system, each province, territory, and the federal government may enact its own corporations statutes, and corporations formed under any such statute may freely conduct business throughout Canada. Although this corporate law pluralism has never led to the jurisdictional competition witnessed in the United States, each maintains its own body of corporate law, as mediated by its own provincial superior and appellate courts. The role of these courts in the historical development of Canadian corporate law is ambiguous: On the one hand, they possess the ability to diversify the law by creating province-specific jurisprudence. On the other hand, they also have the power to standardize the law by converging on uniform legal rules. Surprisingly, despite the importance of judicial decisions to the development of corporate law, it remains unclear which of these approaches Canadian courts have most often followed.This article addresses the empirical question of diversity versus convergence in Canadian corporate law through a novel analysis of judicial citation patterns. The primary findings are as follows: (1) As measured by case citations, provincial courts of appeal favor precedent from their province, a phenomenon which has increased over time; (2) The Supreme Court of Canada exerts a powerful standardizing influence across the provinces; and (3) On balance (and despite the home province bias of provincial courts of appeal), Canadian corporate law is largely homogeneous, with little variation among provincial jurisdictions. The article concludes that—for a variety of reasons—it is unlikely any will develop a distinctive body of corporate law. Were the Supreme Court to (further) withdraw from the field of corporate law, however, the scope and significance of provincial variation could potentially increase." @default.
