In its development of the Repo transaction, the Directors mayconduct Self Dealing transactions in which the Self Dealing transaction is atransaction between the Board of Directors and the company itself. Dalam memutuskanatau melakukan Transaksi Repo, Direksi harus senantiasa berlandaskan dengan itikadbaik, yang mana dalam hal pertanggung jawabannya Undang-Undang Nomor 40Tahun 2007 tentang Perseroan Terbatas (UUPT) telah mengaturnya diantaranyaterdapat didalam Pasal 97 ayat (1) yang menyatakan bahwa Direksi bertanggungjawab atas pengurusan Perseroan sebagaimana dimaksud dalam Pasal 92 ayat (1).Dalam perkembangannya atas transaksi Repo tersebut bisa saja Direksi melakukantransaksi Self Dealing yang mana transaksi Self Dealing tersebut merupakan transaksiantara Direksi dengan perseroan itu sendiri. Dalam hal Direksi terindikasi melakukantransaksi Self Dealing, maka Direksi juga bertanggung jawab atas transaksi yangmenimbulkan akibat hukum tersebut. Akibat hukum dalam hal Direksi melakukantransaksi Self Dealing juga telah diatur didalam Pasal 92 ayat (1) dan (2), Pasal 97ayat (1) dan (2), Pasal 98 dan Pasal 99, Pasal 102 UUPT selain itu berdasarkan Pasal1365 KUHPerdata, batas segala perbuatan melawan hukum yang mengakibatkansuatu kerugian kepada orang lain, mewajibkan orang yang atas kesalahannyasehingga mengakibatkan kerugian tersebut harus mengganti kerugian tersebut." @default.
