It considers the extent to which the duties and liabilities of directors are applicable to “prescribed officers”. The overlap between labour and company law is addressed, particularly as regards the removal of executive directors in terms of the 2008 Companies Act and the dismissal of employees in terms of the Labour Relations Act. This note does not discuss the duties of directors or removal of directors at length but rather explores the possible impact of regarding a senior managerial employee as a “prescribed officer” and addresses the question of whether they will be treated in the same way as executive directors who also act in the capacity of employees.
