- W3136019180 abstract "In this paper, we assess whether pay disparity generates adverse managerial behavior in the form of restatements, and whether auditors perceive that pay disparity is a significant risk factor. We find that pay disparity is significantly and negatively related to the probability of restatement. Further, we find that pay disparity is a priced risk factor by auditors; audit fees are significantly and positively associated with pay disparity. The costs of a perceived higher risk of financial misbehavior due to pay disparity are then incurred by shareholders in the form of higher audit fees. However, our results suggest that governance quality impacts the relationships between pay disparity and the probability of restatement and pay disparity and audit fees. We find that dual CEO-chairman roles and highly restricted shareholder rights exacerbate adverse incentives generated by pay disparity, leading to a higher incidence of restatement when governance is weak and pay disparity is high. Further, we find that firms with weak governance (by some proxies) exhibit higher audit fees and at the same time, lead to higher audit fees for high pay disparity firms. Taken together, our results provide new insights into the dynamics of top management team decision making, the impact of optimal contract design on executive behavior, and the costs to shareholders arising from agency conflict in the absence of strong corporate governance." @default.
