- W3154867122 abstract "…Establishing a shell company to launder money is easier than getting a library card. - Elizabeth Warren 2019 was a significant year for tax transparency in the United States and around the world. As the 2020 election cycle continues, the subject of tax transparency has earned significant media attention after being pushed to the political foreground yet again. However, this rhetoric is just the latest attempt to focus on the shady business activities of opaque entities known as Limited Liability Companies or LLCs. In 2016, the International Consortium of Investigative Journalists (ICIJ) published an explosive report detailing financial and attorney-client information for 214,488 offshore entities. What became known as the was a thorough report focusing on the practices of Panamanian law firm, Mossack Fonseca, which had orchestrated the use of offshore entities so the world's rich and powerful could hide assets, avoid taxes and circumvent laws. As a result, the secrets of the international offshoring industry became public knowledge for the first time in history. Since then, governments around the world have been announcing stronger anti-avoidance efforts to disclose the beneficial owners of financial assets. While beneficial ownership information is relevant to a variety of assets, recent policy attention has focused on the beneficial ownership of companies, and in particular, the use of shell companies to anonymously purchase assets and move money. Today, the Financial Action Task Force (FATF) estimates that there are roughly thirty million legal currently registered in the United States. Approximately two million are being created each year for a host of strategic legal, tax or financial reasons. Although regulatory efforts have been ongoing for several years, the Panama Papers scandal has motivated the U.S. government to recently act to address the alleged attempts by non-U.S. persons to launder the proceeds of illegal activities through U.S. financial transactions. Recent legislation, including the Corporate Transparency Act, and a sister bill currently under consideration in the Senate, are designed to disclose beneficial ownership so that shell corporations are incapable of being used for illegal offshore financing activities, money laundering and tax avoidance. Part I of this Note examines the most recent legislative attempts to disclose beneficial ownership information of LLCs and the historical, political and developments that have shaped these decisions. This will require a discussion of the regulatory developments in the United States and around the world with respect to shell corporations, tax transparency and enforcement. In addition, it examines the practical impact that the Corporate Transparency Act or similar beneficial ownership legislation will have on businesses. Finally, Part II this Note proposes a bold, forward-thinking solution reduce money laundering, fraud and abuse by utilizing block-chain technology to prevent burdening the market with more senseless regulation that fails to adequately address the problem.
