FRANKHAUSER: I am going to cover the question of whether there are private rights of action under the Commodity Exchange Act for damages, and Steve will discuss what other remedies are available. We have a tendency to focus on private rights of action for damages under the Commodity Exchange Act as the only remedy, but there are significant other remedies, and Steve will deal with those. I am sure most of you know that the Commodity Exchange Act does not provide for any specific causes of action, as do some of the federal securities laws. However, the courts, beginning quite late in 1967, authorized implied private rights of action for damages caused by violation of the antifraud provision of the Act, i.e., section 4b. It is rather surprising that the first such decision was not handed down until 1967, since the antifraud provision was enacted in the Commodity Exchange Act of 1936. The only amendment to it was made in 1968, making it applicable to any person, not just professionals. The Seventh Circuit in the Deaktor case1 in 1973, with very little analysis, assumed there was a private right of action and affirmed that concept. The Second Circuit in Miller v. New York Produce Exchange,2 which was an appeal from a jury verdict in Seligson v. New York Produce Exchange? did not deal with the issue. The question of whether or not there was an implied right of action was not raised apparently because of the Deaktor precedent and the much earlier case of Baird v. Franklin* in the Second Circuit, which decided that a cause of action should be sustained against the New York Stock Exchange for purported violation of section 6 of the Exchange Act of 1934 for not preventing a violation of the Exchange's rules. But in any event, the implied private right of action concept is not new and is not applicable solely to the Commodity Exchange Act.
