- W64427480 abstract "The common law knows two types of entities : people and corporations. It recognizes that some people are illegitimate, and from time to time defines their rights and status. But the law has been less perceptive about illegitimate corporations, and a number of anomalies have arisen as a consequence. The courts are able to pierce the veil of the corporate entity concealing the natural person lurking behind it ; they have also recognized the de facto incorporation of those who honestly tried but didn't quite make it. But since a corporation must be conceived with the permission of the sovereign, an organization that has never attempted to get a charter cannot be a corporation, and therefore does not exist. The courts have persisted in this theory despite the fact that labor unions, investment trusts, and charitable foundations flourish in the community, control large sums of money, or wield the influence of widespread memberships. It is no compliment to lawyers that the weakness of legal theory has been discovered by way of labor controversies, securities manipulations, and by the Internal Revenue Service. The common law did not always insist upon a charter from the state. In 1615 Lord Coke declared that a corporation could arise in four ways: Royal charter, Parliamentary charter, prescription, or operation of law.1 It is true that many of the early cases on corporations concerned religious or municipal bodies rather than business associations, but the cases were relegated to those subjects by text writers and ignored otherwise, or else lumped together so indiscriminately as to provide no help in any specific situation. As a result, no adequate body of law existed for commercial associations when they finally appeared in their modern form.
